1. Acceptance of Terms

These Terms and Conditions of Sale and Website Use (“Terms”) govern your access to and use of the website located at BioBoostLabsLLC.com (the “Site”) and all related products, services, communications, transactions, accounts, and interactions provided by BioBoost Labs LLC, doing business as BioBoost Labs+™ (“BioBoost Labs+™,” “Company,” “we,” “us,” or “our”) (collectively, the “Services”).

By accessing the Site, creating an account, placing an order, or otherwise using the Services, you (“Customer,” “User,” or “Purchaser”) acknowledge that you have read, understood, and agree to be legally bound by:

• these Terms and Conditions;
• our Privacy Policy, Shipping Policy, Refund and Returns Policy, and Research Guidelines; and
• all other policies incorporated herein by reference.

If you do not agree, you must immediately discontinue use of the Services. BioBoost Labs+™ may update these Terms periodically. Continued use of the Services following publication of revised Terms constitutes acceptance of such updates.

2. Nature of Business and Supplier Status

BioBoost Labs+™ operates solely as a supplier of research-grade reference standards and laboratory research materials. BioBoost Labs+™:

• is not a medical provider;
• is not a licensed pharmacy;
• is not a compounding pharmacy under Section 503A of the Federal Food, Drug, and Cosmetic Act;
• is not an outsourcing facility under Section 503B of the Federal Food, Drug, and Cosmetic Act.

All products are supplied exclusively as laboratory research materials. Products are research reference standards and analytical reagents, not finished pharmaceutical products, dietary supplements, or consumer goods.

3. Eligibility Requirements

Use of the Services and purchase of products is restricted to individuals who:

• are at least twenty-one (21) years of age;
• possess legal capacity to enter binding agreements; and
• are legally permitted to purchase research materials in their jurisdiction.

By using the Services or placing an order, you represent and warrant that you satisfy these requirements. Orders are void where prohibited by law.

4. Research Use Only — Mandatory Condition of Sale

ALL products sold by BioBoost Labs+™ are intended strictly for in-vitro laboratory research, analytical testing, scientific investigation, or educational purposes.

Products are expressly:

• NOT intended for human or animal consumption;
• NOT intended for therapeutic, diagnostic, cosmetic, or medical use;
• NOT approved by the U.S. Food and Drug Administration to diagnose, treat, cure, or prevent any disease.

Purchase, receipt, or possession constitutes acknowledgment of these restrictions.

5. Purchaser Certification and Scientific Competency

By placing an order, Customer represents and certifies that:

• products are purchased solely for lawful research purposes;
• Customer is a qualified researcher, scientist, or professional with appropriate scientific knowledge and laboratory capability;
• products will be handled using proper laboratory safety procedures; and
• all applicable federal, state, local, and international laws and regulations will be followed.

BioBoost Labs+™ relies upon these certifications as a material condition of sale.

6. Prohibited Uses

The following uses of any BioBoost Labs+™ product are strictly prohibited:

• Human consumption: no product may be ingested, injected, applied topically, inhaled, or otherwise administered to any human being.
• Veterinary use: no product may be administered to or used in connection with any animal.
• Clinical or therapeutic application: no product may be used in any clinical trial, medical treatment, diagnostic procedure, or therapeutic context.
• Use as a drug or supplement: no product may be used or represented as a drug, supplement, or performance-enhancing substance.
• Resale or relabeling for non-research purposes: no product may be resold, relabeled, distributed, or transferred for use outside legitimate laboratory research.
• Food or agricultural use: no product may be incorporated into food, beverage, feed, or agricultural products.
• Pharmaceutical manufacturing: no product may be used as an active ingredient in any product intended for human or animal use.

BioBoost Labs+™ reserves the right to refuse service, cancel orders, or terminate accounts where there is reason to believe products may be used for a prohibited purpose.

7. Research Guidelines

By purchasing, you agree to review and comply with our Research Guidelines, which cover proper handling, storage, and research-appropriate use of all products. The Research Guidelines are incorporated into these Terms by reference.

8. Product Descriptions and Accuracy

BioBoost Labs+™ makes reasonable efforts to ensure product descriptions, specifications, purity data, and Certificate of Analysis (COA) information are accurate and current. Product information is provided for scientific reference only and does not constitute medical, clinical, or veterinary advice.

9. Account Registration and Security

Users are responsible for maintaining accurate account information and safeguarding login credentials, and for all activities conducted under their account. BioBoost Labs+™ may suspend or terminate accounts involved in fraud, misuse, or violation of these Terms.

10. Order Acceptance and Right to Refuse Service

Submission of an order does not constitute acceptance. BioBoost Labs+™ reserves the right to refuse or cancel orders, limit purchase quantities, delay shipment, or restrict accounts for compliance, fraud prevention, operational security, payment authorization, or inventory reasons.

11. Pricing, Taxes, and Payment Authorization

All prices are listed in U.S. Dollars unless otherwise stated. Customer authorizes BioBoost Labs+™ and its payment processors to charge submitted payment methods for all applicable amounts. Orders may undergo automated fraud screening.

12. Shipping

Orders ship within the contiguous United States as described in our Shipping Policy. Every order ships via UPS 2-Day service; delivery times depend on the carrier. Free 2-day shipping applies to orders over $325. Shipping costs for other orders are calculated at checkout. All orders ship insured. No local pickup or international shipping is available.

13. Transfer of Title and Risk of Loss

Title and risk of loss transfer to Customer upon delivery of products to the shipping carrier. Claims for damaged, missing, or incorrect items are handled under our Refund and Returns Policy and must be reported within five (5) business days of delivery. BioBoost Labs+™ is not responsible for customs actions, delivery refusal, or loss after confirmed delivery.

14. Shipping Compliance Responsibility

Customer bears sole responsibility for determining the legality of purchase, importation, possession, and use within their jurisdiction. BioBoost Labs+™ assumes no responsibility for regulatory seizure or customs action.

15. Refunds, Returns, and Cancellations

All sales are final. Orders may be canceled only prior to shipment. Approved cancellations may be refunded at BioBoost Labs+™’s discretion, less a 15% processing and administrative fee that helps cover card-network and payment processing costs, and are typically processed within 5–7 business days of written approval. 16. Chargebacks and Payment Disputes

Customer agrees to contact BioBoost Labs+™ and allow a reasonable opportunity to resolve any concern before initiating a payment dispute. Fraudulent or bad-faith chargebacks constitute a breach of these Terms, and BioBoost Labs+™ reserves the right to recover associated losses, fees, and legal costs where permitted by law.

17. Assumption of Risk

Customer acknowledges research materials may possess unknown biological or toxicological properties and voluntarily assumes all risks associated with possession, handling, experimentation, storage, transport, and disposal.

18. No Medical or Professional Advice

Information provided by BioBoost Labs+™ is informational only and does not constitute medical, legal, or scientific advice. BioBoost Labs+™ does not provide dosing, administration, or usage guidance of any kind.

19. Automated Systems and Communications

BioBoost Labs+™ uses automated systems for order processing, fraud detection, logistics, analytics, customer support, and electronic communications. Operational actions may occur without manual review.

20. Intellectual Property

All Site content, trademarks, branding, and materials are the exclusive property of BioBoost Labs+™ and may not be reproduced without written permission.

21. Operational Security and Facility Confidentiality

BioBoost Labs+™ maintains confidential operational and fulfillment locations for safety and security purposes. Physical locations are not publicly disclosed.

22. Disclaimer of Warranties

Except as expressly stated in a product’s Certificate of Analysis, products are provided “as is.” BioBoost Labs+™ makes no warranties, express or implied, regarding fitness for any particular purpose beyond stated use as a research reference standard.

23. Limitation of Liability

To the fullest extent permitted by law, BioBoost Labs+™ shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any harm resulting from misuse of any product or use in violation of these Terms. BioBoost Labs+™’s total liability for all claims shall not exceed the greater of (a) the amount Customer paid to BioBoost Labs+™ in the twelve (12) months preceding the claim, or (b) USD $100.

24. Indemnification

Customer agrees to defend, indemnify, and hold harmless BioBoost Labs+™ from claims arising from misuse, unlawful handling, or violation of these Terms.

25. Electronic Agreement

Electronic acceptance constitutes a legally binding agreement under the U.S. ESIGN Act and UETA. Transaction records may serve as evidence of agreement.

26. Binding Arbitration Agreement

All disputes shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association under its applicable rules. Arbitration shall take place in the State of Texas, unless otherwise required by law. Both parties waive the right to a jury trial.

27. Class Action Waiver

All disputes must be brought individually and not as part of any class, consolidated, or representative action.

28. Force Majeure

BioBoost Labs+™ shall not be liable for delays caused by events beyond reasonable control, including natural disasters, governmental action, carrier disruption, infrastructure failure, or supply disruptions.

29. Severability and Survival

If any provision is held invalid, the remaining provisions remain in full force. Provisions that by their nature should survive termination shall survive.

30. Entire Agreement

These Terms, together with the policies incorporated by reference, constitute the entire agreement between Customer and BioBoost Labs+™ and supersede any prior Terms of Service.

31. Governing Law

These Terms shall be governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles.
